Terms of Use

Last updated:

Draft. This document was written in-house and is pending review by a lawyer. It describes what this site actually does today, and we will publish a reviewed version once that review is done.

These terms cover your use of titusledger.com, the website of Titus Ledger, its waitlist, and Titus Ledger accounts during the private beta. They are made by Titus Hub Inc. (“we”, “us”). By using the site, or by creating an account, you accept them. If you don't agree, please don't use either.

1. Titus Ledger and its private beta

Titus Ledger is bookkeeping software we are building. It is in a private beta: accounts are by invitation, and most of the product is still being built. In particular:

  • The private beta is free. We don't ask for payment details, and nothing you do during the beta will be charged. Paid plans will come with terms of service that you see and accept before you pay anything.
  • Features are described as planned. What ships, and when, may change. A beta can have mistakes in it: check figures that matter before you rely on them.
  • Prices on the site are the launch pricing we plan to use, not an offer. The price you pay will be the one shown when you subscribe.
  • The dates on the site (the private beta, the public launch) are our plans, not commitments.

2. The waitlist

Joining the waitlist is free and doesn't commit you or us to anything. It means we will email you about Titus Ledger, such as an invitation to the private beta and news of the launch. We decide who is invited to the private beta, and when. You can leave the waitlist at any time.

The founding price for waitlist members, where the site describes it, will be set out in full in the terms you accept when you subscribe.

3. Your account

Your Titus Ledger account is a Titus account: the same account, with the same email address and password, that signs in to TitusChat, TitusVoice, TitusFax and Titus Contacts, each of them separately. These terms cover its use of Titus Ledger; each other product has its own.

  • Give your real name and an email address that is yours, and keep it an address you can receive email at: invitations are bound to it, and password resets go to it.
  • An account is for one person. Keep your password to yourself, and tell us at once at support@titusledger.com if you think someone else has used your account.
  • You are responsible for what is done with your account, unless it happened because of something we did wrong.
  • You can change your password on your account page, or reset it from the sign-in page; because the account is shared, the new password applies to every Titus product, and a reset signs the account out everywhere. To change your name or email address, or to delete your account, email us.

4. Companies, members and roles

Each company in Titus Ledger is one set of books. The person who sets a company up is its first owner. Its owners and admins decide who else joins it, by invitation, and in which role (owner, admin, accountant, bookkeeper or viewer); the role decides what each member can see and do. Every member can see the company's books, and its owners and admins can see every member's name and email address.

  • Only invite people who should see the company's books, to the address that is theirs, in the role they need. The company is responsible for the people it lets in.
  • Changes to a company's details, its members and its invitations are recorded in its history, with who made them and when. A company keeps its records of who had access, including people who have since left.
  • Any member can leave a company, except its last owner, who must make someone else an owner first.

5. Your data

You keep ownership of your company's books and of everything you put into Titus Ledger. You let us store, process and show it only to run Titus Ledger for you and for the people your company lets in. We don't sell it, and we don't use it for advertising. Our Privacy Policy says what we collect, who else handles it for us and how long we keep it.

Exporting a company's books, and closing or deleting a company, aren't available yet. Keep your own records of anything you can't afford to lose while the beta lasts.

6. Using the site and Titus Ledger

You are welcome to read any page of the site, and to share and link to it. Please don't:

  • join the waitlist or create an account with an address that isn't yours, or send anything spam, automated, unlawful, abusive or malicious through the site or Titus Ledger;
  • invite people who haven't asked to work on your company's books, or try to get around the limits on invitations, the waitlist form or anything else;
  • try to reach a company you aren't a member of, or anything else that isn't yours to see;
  • scrape or crawl the site in a way that puts a noticeable load on it (ordinary search engine indexing is fine);
  • use the site or Titus Ledger in any way that breaks the law or gets in the way of other people using them.

If you think you have found a security problem, please tell us at security@titusledger.com rather than testing it further; our security page explains how.

7. Not professional advice

Titus Ledger is a tool for keeping books. Nothing on the site or in Titus Ledger is legal, tax, accounting or financial advice. You, and the accountant you choose, remain responsible for your books, your tax filings and your business decisions.

8. Ending your use

You can stop using Titus Ledger at any time: leave the companies you belong to, and email us to delete your account. We may suspend or end an account, or someone's access to a company, that breaks these terms or puts Titus Ledger, its users or us at risk. If we end the private beta, we will tell you by email first.

9. Our content

The content of this site and of Titus Ledger, including its text, design and graphics and the Titus Ledger name and logo, belongs to Titus Hub Inc. or to the people who licensed it to us. You may view it, print it for your own use, and share links to it. You may not copy or republish substantial parts of it, or use our name or logo, without our written permission.

Other companies' names appear on this site only to describe them. QuickBooks is a registered trademark of Intuit Inc. Titus Ledger is not affiliated with or endorsed by Intuit Inc.

This site links to other websites, including the other products in the Titus family (TitusChat, TitusFax, Titus Board, Titus Pulse, Titus Core, and Titus Apps) and the providers named in our Privacy Policy. Each has its own terms and privacy policy, and these terms don't cover them. We are not responsible for the content of websites we don't run.

11. Disclaimer

We work to keep the site and Titus Ledger accurate, secure and available, but during the private beta both are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We don't promise that either will always be available or free of errors. Nothing in these terms excludes any liability that cannot lawfully be excluded.

12. Limitation of liability

To the fullest extent the law allows, Titus Hub Inc. is not liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue, business or data, arising from your use of the site, the waitlist or Titus Ledger during its free private beta, even if we were told they were possible. Our total liability for any claim arising from them is limited to US$100.

Liability for the paid Titus Ledger will be set by its terms of service.

13. Governing law

These terms are governed by the laws of the State of New Jersey, and the courts of the State of New Jersey have exclusive jurisdiction over any dispute arising from them.

14. Changes to these terms

We may update these terms. The date at the top of this page shows when they last changed, and your account records the version you accepted when you signed up. If a change affects how you use Titus Ledger, we will tell you by email before it applies. Using the site or Titus Ledger after a change means you accept the updated terms.
